Izvento – Terms & Conditions

This Terms of Use Agreement (the “Agreement”) is a legally binding agreement between Izvento (“Izvento,” “we,” “our,” or “us”), a freelance web design and development agency operating out of Pakistan, and you (“Client,” “you,” or “your”) regarding your access to and use of our website (https://www.izvento.com) and any associated services, tools, or deliverables.

By accessing or using our Website or services, you accept and agree to be bound by these Terms and our Privacy Policy. If you do not agree, please discontinue use immediately.

1. Intellectual Property Rights

All assets, copy, graphics, designs, and source files created for your project (“Deliverables”) are the intellectual property of Izvento until full payment is received. After full payment, the copyright for those Deliverables transfers to you.

However, any third-party materials (e.g. fonts, plugins, stock assets) used in your project may require separate licensing from you, the client.

2. Ownership of Materials

You fully own the custom design and development work once payment is completed. Izvento does not retain rights to resell or reuse your original work. We do, however, reserve the right to retain non-transferable templates, tools, or scripts developed prior or separately.

3. Third-Party Assets

If a project includes licensed assets (like fonts, stock images, or scripts), you are responsible for acquiring the appropriate commercial licenses to continue using those legally. We’ll inform you when these are required.

4. Client Representations

By using our services, you confirm that:

• You are legally capable of entering into this agreement
• You own (or have the rights to use) all materials provided to us
• You will not use our services for any unlawful or abusive purposes

5. Prohibited Uses

Clients must not:

• Attempt to copy or reproduce proprietary systems or workflows
• Abuse our services, staff, or tools in any way
• Use our content or processes for competitive purposes
• Distribute or reuse our pre-built frameworks, templates, or proprietary components without permission

6. Revisions and Feedback

You are welcome to provide feedback during the design and development process. We encourage open and clear communication via email, Trello, Notion, or your preferred async tools.

7. Refund Policy

We offer a 7-day refund window from the start of the subscription. If you’re unsatisfied, you may request a refund within the first 7 calendar days. A 25% processing and service fee applies to any approved refund. No assets delivered during the refund window may be used.

8. Showcasing Work

We respect client confidentiality. We will only showcase your project on our portfolio, social media, or other channels if we have your written permission.

9. Downtime & Interruptions

We strive for smooth delivery, but occasional delays or interruptions may occur due to unforeseen circumstances. Izvento is not responsible for platform outages, third-party tool issues, or internet/server downtimes beyond our control.

10. Limitation of Liability

Izvento is not liable for any indirect, incidental, special, or consequential damages that may arise from use of our services. Our maximum liability under any circumstances is the total amount paid to us by the client.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of Pakistan. Any legal matters shall fall under the jurisdiction of the courts in Karachi, Pakistan.
